Allgemeine Geschäftsbedingungen des Partnerprogramms

Diese Allgemeinen Geschäftsbedingungen regeln die Teilnahme am Sorank-Partnerprogramm, das von der Stone Rank Kft. betrieben wird.

Mit dem Beitritt oder der Teilnahme am Programm erklären Sie sich vorbehaltlos mit diesen Bedingungen einverstanden.

1. Definitions

Affiliate: A person or entity approved to participate in the Sorank Affiliate Programme.

‍Client: Any user who purchases a paid Sorank subscription through an Affiliate's link.

‍Commission: Amount earned by the Affiliate based on eligible sales.

‍Net Revenue: Revenue received by Stone Rank Kft. excluding VAT, taxes, refunds, and chargebacks.

‍Programme: The Sorank Affiliate Programme.

‍Platform: The affiliate management system used by Sorank, currently operated through Rewardful.

2. Eligibility and Registration

Registration requires accurate, complete information.

Stone Rank Kft. reserves the right to approve or reject any applicant.

Affiliates must comply with all applicable laws and ethical marketing practices.

Programme tracking, attribution, and commission calculation are managed through Rewardful. Affiliates must maintain a valid Rewardful account to participate.

3. Commission Structure

3.1 Commission Rate

Affiliates earn 30% of the net revenue (excluding VAT) generated by each referred client. Backlinks are not included in the affiliate offer.

3.2 Attribution Window and Duration

Referral links are lifetime-valid: whenever a user clicks the link, attribution is applied.

Affiliates earn commissions for 12 months from the Client's first paid subscription.

3.3 Clearance Period

Commissions become payable 30 days after Sorank has received and validated the Client's payment, ensuring the transaction is not refunded or disputed.

4. Minimum Payout Threshold

Affiliates must accumulate a minimum of 100 EUR in cleared commissions before requesting a payout.

No payment will be issued below this threshold.

5. Payout Terms

Payouts are issued through the payment method configured in the Affiliate's Rewardful account.

Transaction fees (banking or currency conversion) may be deducted.

Affiliates are responsible for providing accurate payout details.

Stone Rank Kft. is not responsible for failed or delayed payments caused by incorrect information.

6. Refunds, Chargebacks and Invalid Transactions

If a referred Client:

• Cancels

• Receives a refund

• Triggers a chargeback the relevant commission will not be paid. If already credited, it may be deducted from future payouts.

Commissions are voided for:

• Self-referrals

• Referrals from family members or employees

• Fraudulent or incentivised traffic

• Abuse of the reward system

• Artificial traffic or misleading practices

Stone Rank Kft. may remove commissions from any invalid or suspicious transaction.

7. Marketing and Promotional Rules

Affiliates must promote Sorank in a fair, transparent, and lawful manner.

The following are strictly prohibited:

• Misrepresenting Sorank features, pricing, or company information

• Pretending to be part of the Sorank team

• Using spam, bots, forced clicks, or misleading funnels

• Advertising Sorank using deceptive or unethical methods

• Using any prohibited content or channels

7.1 Prohibition of Google Ads on Brand Keywords

Affiliates are strictly forbidden from bidding on, purchasing, or triggering ads for:

• Sorank

• Sorank.com

• Stone Rank Kft.

• Any misspellings or variations of the brand

• Brand + keywords (e.g., "Sorank review", "Sorank pricing")

• Competitor-style ads targeting searches for the brand

This includes all PPC platforms, including Google Ads, Bing Ads, and social advertising networks.

Violation may lead to immediate removal from the programme and forfeiture of all unpaid commissions.

8. Intellectual Property

Affiliates may use Sorank-approved logos and promotional materials exclusively for programme participation.

All intellectual property remains owned by Stone Rank Kft.

Unauthorized use, modification, or redistribution is prohibited.

9. Termination

Stone Rank Kft. may suspend or terminate an Affiliate account for:

• Non-compliance with these Terms

• Fraudulent or suspicious activity

• Misuse of the Programme

• Ethical violations or brand keyword bidding

• Inactivity exceeding 12 consecutive months

Upon termination:

• Valid commissions above the 100 EUR minimum remain payable

• Commissions earned through prohibited activity will be forfeited

10. Liability and Disclaimer

Stone Rank Kft. does not guarantee the number of conversions or the level of income an Affiliate may generate.

The Programme is provided "as is".

Stone Rank Kft. is not liable for:

• Indirect damages

• Loss of profit

• Technical failures

• Third-party service outages (including Rewardful or payment processors)

11. Modifications

Stone Rank Kft. may update or modify these Terms at any time.

Changes take effect upon publication on the Site or reasonable notice to Affiliates.

Continued participation constitutes acceptance of revised Terms.

12. Governing Law and Jurisdiction

These Terms are governed by Hungarian law.

Disputes fall under the jurisdiction of the courts of Budapest, after attempts to reach an amicable resolution.
